DEFINITIONS AND PREAMBLE

This website is managed by Very-V s.r.l. The terms “we” and “our” on the site refer to Very-V. Very-V offers this website with all the information, tools and services available on it on the condition that the user accepts all the terms, conditions, information and warnings contained therein. By visiting the website and/or making a purchase, the user uses the “Service” and agrees to be bound by the following terms and conditions (“Terms and Conditions of Service”, “Terms”), which include the terms, conditions and additional information cited in this document and/or available via hyperlink. These Terms and Conditions of Service apply to all users of the site, including but not limited to visitors, suppliers, customers, merchants and/or authors of comments and other content.

ART. 1 – TERMS AND CONDITIONS OF THE ONLINE STORE

By accepting these Terms and Conditions of Service, the user represents that he/she is of legal age in his/her country of residence. It is forbidden to use the website, the information contained or reproduced therein, as well as any of the trademarks or other intellectual rights in any way attributable to the Very-V website for illegal or purposes not permitted by the laws in force in the country of residence, as well as in the one where Very-V is headquartered. Violation of any provision of the Terms will result in the immediate termination of the right to use the Services.

ART. 2 – GENERAL TERMS AND CONDITIONS

Very-V reserves the right to deny, restrict or prohibit the service to anyone, for any reason and at any time. The user acknowledges that his/her information may be transferred unencrypted via (a) transmissions over various networks; (b) changes to conform and adapt to the technical requirements of the networks or connecting devices.

ART. 3 – ACCURACY, COMPLETENESS AND TIMELINESS OF INFORMATION

Very-V is not liable if the information made available on its website is not accurate, complete or updated. The materials and information published on the website are to be understood as merely indicative, and, in any case, not exhaustive. Manufacturers are free to make changes to the exterior or to the formulation of the products, without any obligation to notify Very-V, and, therefore, although Very-V continuously updates the illustrations and descriptions of the products, it is not possible to ensure the timeliness of the changes nor the exact correspondence to the products supplied on a case-by-case basis.

ART. 4 – CHANGES TO THE SERVICE AND PRICES

The prices of the products offered to the public are subject to change without notice. Very-V reserves the right to modify or discontinue the Service (or any part or content thereof) without notice at any time. Under no circumstances can Very-V be held liable towards the user or third parties in relation to any modifications, price changes, suspensions or interruptions of the Service.

ART. 5 – PRODUCTS

Some products offered to the public may be available in limited quantities, or, for technical reasons, the indication of the number of copies of each product may not correspond to current immedaite availability. In any event, Very-V reserves the right to cancel orders, or to inform the user of any delays or postponements of shipments, based on current availability.

ART. 6 – ACCURACY OF BILLING AND ACCOUNT INFORMATION

Very-V reserves the right to cancel orders placed by the user, and also, at its sole discretion, to limit or cancel the quantities purchased per person, per household or per order. These restrictions may concern orders placed from the same customer account, with the same credit card and/or orders using the same billing and/or shipping address. In the event of modification or cancellation of an order, Very-V will notify the user via e-mail at the addresses provided. The user represents and agrees to provide true, current, complete and accurate personal purchase and account information for all purchases made in our store. In the event of changes, modifications or updates to general, personal or fiscal data, the user agrees to promptly notify Very-V of the correct information.

ART. 7 – HYPERTEXT CONNECTIONS (LINKS) TO THIRD PARTIES

Some content, products and services available through the website may include hyperlinks relating to third parties and external websites, not related or affiliated to Very-V. Very-V shall in no way be liable for the content or information of such websites. Any malfunctions, defects, as well as illicit or harmful activities carried out through any of the aforementioned websites fall outside the responsibility of Very-V, and the user fully assumes responsibility for the use of said websites and/or links of any kind. Under no circumstances will Very-V be called upon to answer or compensate for any damage incurred by access to any of the aforementioned websites, even if connected to its own through hyperlinks. Very-V cannot guarantee the accuracy, precision or updating of the information present on any of the third-party websites, even if linked to its own via hyperlinks.

ART. 8 – COMMENTS, FEEDBACK AND OTHER MATERIALS SENT

Any comment, request, communication or information freely transmitted to Very-V, apart from personal data, which will be managed in accordance with current legislation and in compliance with the relative information, may be used, disclosed and/or disseminated by Very-V in any way, both on its own website and on third-party websites. The user declares that he/she is aware of such circumstances and waives any privacy, confidentiality or claim of intellectual property in relation to the foregoing.

ART. 9 – PERSONAL INFORMATION AND DATA PROCESSING

The sending of personal information through the website is governed by current regulations, as well as in accordance with the Privacy Policy, to which reference is expressly made for any greater details and further information, as well as for the purpose of exercising the relative rights.

ART. 10 – DISCLAIMER OF WARRANTIES AND LIMITATION OF LIABILITY

Very-V cannot guarantee the continuity and/or regularity of the service, nor the certainty or timeliness of third-party fulfilments, including but not limited to the transport and/or supply of products. The qualities of the products described on the website refer to and are reported in full in the supplier’s notes, of which Very-V does not carry out any checks, nor does it offer warranties of any kind. Any times relating to the supply of products not immediately available in the warehouse are entirely indicative and based on the indications of the suppliers. Under no circumstances can Very-V guarantee the absence of delays or postponements, nor can any deviation from the estimates give rise to any liability for Very-V. The warranties envisaged by law are in force where applicable, and in accordance with the regulations in force in the place of jurisdiction.

ART. 11 – INDEMNITY

The user agrees to indemnify and hold Very-V, its partners and suppliers harmless from any claim or demand, including reasonable attorneys’ fees, made by any third party and due to or arising out of the breach of these Terms and Conditions of Service or the documents incorporated in them by reference, or from the violation of any law or right of third parties by the user.

ART. 12 – VALIDITY OF THE INDIVIDUAL CLAUSES

If any provision of these Terms and Conditions of Service is determined to be unlawful, void or unenforceable, then such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed severed from these Terms and Conditions of Service, without prejudice to the validity and enforceability of the remaining provisions.

ART. 13 – TERMINATION

The obligations and responsibilities entered into by the parties prior to the termination date shall maintain their validity following termination of this agreement for all legal purposes.

ART. 14 – RETURNS, RIGHT OF WITHDRAWAL AND WARRANTY

Pursuant to Art. 59 of the Italian Consumer Code (Legislative Decree 206/05), food products that risk deteriorating or expiring rapidly, and, in any case, sealed goods, are exempt from the right of withdrawal. In any event, the legal provisions relating to contractual liability and the warranty reuired of the seller remain applicable. In the event that any of the products supplied to the user is affected by defects not attributable to the user’s responsibility, the latter must notify Very-V immediately and without delay, by e-mail addressed to shop@very-v.eu, including a specific description of the defects found, and all appropriate documentation capable of demonstrating the nature and extent of each defect (i.e.: photographs). When the legal prerequisites are met, Very-V will inform the user regarding the methods for returning the product/s affected by defects. A full or partial refund of the price will be issued in the manner indicated by Very-V no later than the thirtieth day following the return of the product/s. The provision of the legal warranty, as well as permission to effect a return shall, in any case, be denied if the user: i) has reported the defect more than eight days following its discovery and/or receipt of the product, or ii) has failed to accept visibly damaged, or open or deteriorated parcels from the courier as a conditional delivery

ART. 15 – ENTIRE AGREEMENT

The failure to exercise or enforce any right or provision of these Terms and Conditions of Service shall not constitute a waiver of such right or provision. Any ambiguity in the interpretation of these Terms and Conditions of Service shall not be interpreted as being against the drafting party.

ART. 16 – APPLICABLE LAW AND JURISDICTION

These Terms and Conditions of Service and any separate agreements under which we provide the Services to you will be governed by and construed in accordance with the laws of Italy. Unless the law provides otherwise (i.e.: Consumer protection regulations), the Court of Milan shall have jurisdiction with regard to the interpretation and fulfillment of this agreement.

ART. 17 – CHANGES TO THE TERMS AND CONDITIONS OF SERVICE

Very-V reserves the right, at its sole discretion, to update, modify or replace any part of these Terms and Conditions of Service by posting updates and changes on its website. The user is responsible for checking for any changes, updates or amendments made to these Terms.
